By installing, accessing, or using MM Retail (the “App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not install or use the App.
1. Acceptance
“You” means the individual or business entity using the App. “We”, “us”, “our” means MM Axia (Private) Limited (“MM Axia”), the developer and operator of MM Retail.
2. Use of the Service
- The App is provided for managing retail and small-business operations including sales, purchases, inventory, customers, suppliers, expenses, payments, and reporting.
- You must be at least 18 years old or have legal authority to enter contracts on behalf of your business.
- You agree to use the App in compliance with all applicable laws in your jurisdiction, including but not limited to tax, accounting, consumer protection, employment, and data protection laws.
- You may not use the App for any unlawful, fraudulent, or abusive purpose, or in any way that interferes with our service or other users.
3. Account and Security
- You are solely responsible for safeguarding your login credentials.
- You must not share your account or credentials with unauthorized persons.
- You must promptly notify us if you suspect unauthorized access to your account.
- We may suspend or terminate accounts that, in our reasonable judgment, violate these Terms or applicable law.
4. Subscription and Billing
- MM Retail offers Free, Basic, Advanced, and Custom plans. Each plan’s limits are described in-app.
- Paid plans are billed via Safepay or other authorized billing channels.
- Subscriptions auto-renew unless canceled before the renewal date.
- Refunds, where available, are subject to the rules of the billing platform used. We do not process refunds directly.
- We reserve the right to change pricing with reasonable notice.
5. Your Data, Your Responsibility
- All business data you enter into the App is YOUR data. You retain ownership.
- We store your data on Google Firebase as a service to you; we do not claim ownership rights over your data.
- You are responsible for keeping your own backups of important business data. We strongly recommend exporting reports periodically.
- We are not responsible for the accuracy of data that you, your staff, or any user entering data on your behalf enters into the App.
- You are solely responsible for any tax filings, accounting entries, audits, or business decisions made based on data or reports generated by the App. You must verify all financial figures independently before relying on them.
6. Disclaimer of Warranties
MM RETAIL IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE EXPRESSLY DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OPERATION.
WE DO NOT WARRANT THAT THE APP WILL BE ERROR-FREE, BUG-FREE, SECURE, OR ALWAYS AVAILABLE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MM AXIA (PRIVATE) LIMITED, ITS OWNERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY OF THE FOLLOWING:
- Direct, indirect, incidental, special, consequential, exemplary, or punitive damages of any kind, including but not limited to loss of profits, revenue, goodwill, opportunity, data, or business, arising from your use of or inability to use the App.
- Any loss, corruption, or unauthorized disclosure of data — whether caused by software defects, hardware failure, network outage, third-party service failure (including but not limited to Google Firebase), unauthorized access to your device or account, or any other cause.
- Any errors in calculations, reports, tax computations, accounting entries, or financial figures generated by the App. You are solely responsible for verifying all output before relying on it for tax filings, business decisions, financial statements, audits, or any official purpose.
- Any business loss, financial loss, regulatory penalty, fine, lawsuit, or third-party claim arising from your use of the App or from your business operations.
- Any acts or omissions of any third party, including Google, your internet service provider, your mobile carrier, or any other service we depend on.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THE APP EXCEED THE GREATER OF: (i) THE AMOUNT YOU HAVE PAID TO US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED US DOLLARS (USD 100).
8. Force Majeure
We are not liable for any failure or delay caused by events beyond our reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, riots, government actions, court orders, internet or cellular outages, electrical failures, third-party service failures, or any other force majeure event.
9. Indemnification
You agree to indemnify, defend, and hold harmless MM Axia (Private) Limited, its owners, directors, employees, agents, and affiliates from and against any claim, demand, action, loss, liability, damage, fine, or cost (including reasonable legal fees) made by any third party arising out of:
- Your use of the App
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any rights of any third party (including intellectual property and privacy rights)
10. Modifications to the Service or Terms
We may modify, suspend, or discontinue any feature of the App at any time, with or without notice. We may also update these Terms from time to time. Your continued use of the App after such changes constitutes acceptance. Material changes will be communicated in-app where practicable.
11. Termination
We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason — including, but not limited to, breach of these Terms or applicable law. Upon termination, your right to use the App ceases. All provisions of these Terms that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and governing law) shall continue to apply.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, without regard to conflict-of-law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts of Lahore, Pakistan.
